1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the MindGrix AI Agent Platform ("Platform", "Service"), operated by MindGrix Ltd. ("MindGrix", "we", "us", or "our").

By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

MindGrix provides an AI-powered customer engagement platform for healthcare providers, including:

  • AI chatbot for WhatsApp communication

  • Appointment scheduling and management

  • Patient/lead management

  • Knowledge base with RAG (Retrieval-Augmented Generation) technology

  • Analytics and reporting dashboard

  • Human handoff capabilities

  • Automated reminders and follow-ups

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have legal capacity to enter into contracts to use our Service.

3.2 Account Creation

To access the Platform, you must:

  • Provide accurate and complete registration information

  • Maintain the security of your account credentials

  • Notify us immediately of any unauthorized access

  • Accept responsibility for all activities under your account

4. Acceptable Use

4.1 You Agree To:

  • Use the Service only for lawful purposes

  • Comply with all applicable laws and regulations

  • Obtain necessary consents from patients before collecting their data

  • Maintain accurate and up-to-date information

  • Protect login credentials and account security

4.2 You Agree NOT To:

  • Use the Service for any illegal or unauthorized purpose

  • Transmit malware, viruses, or harmful code

  • Attempt to access other users' accounts or data

  • Reverse engineer, decompile, or disassemble the Service

  • Use the Service to send spam or unsolicited messages

  • Violate any applicable healthcare regulations (HIPAA, local health privacy laws)

  • Share account credentials with unauthorized parties

  • Use the AI chatbot to provide medical diagnoses or treatment recommendations

  • Misrepresent the AI as a human healthcare provider

5. Data Ownership and Responsibilities

5.1 Your Data

You retain ownership of all data you upload or generate through the Platform ("Your Data"), including:

  • Knowledge base documents

  • Patient/lead information

  • Conversation history

  • Appointment records

5.2 Your Responsibilities

As a healthcare provider, you are responsible for:

  • Obtaining proper consent from patients for data collection and communication

  • Ensuring compliance with applicable healthcare privacy laws

  • Maintaining the accuracy of patient information

  • Properly configuring privacy settings for your organization

  • Training your staff on appropriate use of the Platform

5.3 Our License to Your Data

You grant MindGrix a limited license to process Your Data solely to:

  • Provide and maintain the Service

  • Generate analytics and reports

  • Improve AI performance (using anonymized/aggregated data only)

6. AI Chatbot Disclaimer

6.1 Nature of AI

The AI chatbot is designed to assist with customer communication and appointment scheduling. It is NOT a medical device and should NOT be used to:

  • Provide medical diagnoses

  • Recommend treatments

  • Replace professional medical advice

6.2 AI Limitations

The AI may occasionally:

  • Provide inaccurate or incomplete information

  • Misunderstand user intent

  • Experience technical issues or downtime

You acknowledge that AI responses are generated based on your knowledge base content and may not always be accurate.

6.3 Human Oversight

You are responsible for monitoring AI conversations and intervening when necessary. The Platform includes human handoff features for this purpose.

7. Payment Terms

7.1 Subscription Plans

Access to the Service requires a paid subscription. Current pricing is available at www.mindgrix.com/pricing.

7.2 Billing

  • Subscriptions are billed monthly or annually in advance

  • All fees are quoted in the currency specified at checkout

  • Payments are processed through our third-party payment provider

7.3 Refunds

  • Annual subscriptions: Pro-rated refund within 14 days of purchase

  • Monthly subscriptions: No refunds for partial months

  • Trial periods: No charge if cancelled before trial ends

7.4 Price Changes

We may modify pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of new pricing.

8. Service Level Agreement

8.1 Uptime Commitment

We target 99.5% platform availability, excluding:

  • Scheduled maintenance (notified in advance)

  • Force majeure events

  • Third-party service outages (WhatsApp, hosting providers)

Note: Response times are calculated during operating hours only. Tickets submitted outside operating hours will be addressed on the next business day.

9. Intellectual Property

9.1 MindGrix Property

The Platform, including all software, designs, trademarks, and content, is owned by MindGrix and protected by intellectual property laws.

9.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to use the Platform for your internal business purposes during your subscription period.

9.3 Restrictions

You may not:

  • Copy, modify, or distribute the Platform

  • Create derivative works based on the Platform

  • Remove any proprietary notices or labels

  • Use MindGrix trademarks without permission

10. Confidentiality

10.1 Confidential Information

Both parties agree to protect confidential information disclosed during the relationship, including business information, technical data, and customer lists.

10.2 Exclusions

Confidentiality obligations do not apply to information that is:

  • Publicly available

  • Independently developed

  • Lawfully obtained from third parties

  • Required to be disclosed by law

11. Limitation of Liability

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDGRIX SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages

  • Loss of profits, revenue, or data

  • Business interruption

  • Damages exceeding the fees paid in the 12 months preceding the claim

11.3 Exceptions

These limitations do not apply to:

  • Gross negligence or willful misconduct

  • Breach of confidentiality obligations

  • Intellectual property infringement

12. Indemnification

You agree to indemnify and hold harmless MindGrix from any claims, damages, or expenses arising from:

  • Your use of the Service

  • Violation of these Terms

  • Infringement of third-party rights

  • Your Data or content

  • Your patients' or end-users' claims

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Service.

13.2 Termination by You

You may terminate your account at any time through the Platform settings or by contacting support.

13.3 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms

  • Fail to pay fees when due

  • Engage in fraudulent or illegal activity

  • Pose a security risk to the Platform

13.4 Effect of Termination

Upon termination:

  • Your access to the Platform will cease

  • You may request export of Your Data within 30 days

  • We will delete Your Data within 90 days (unless legally required to retain)

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days in advance.

Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

15. Governing Law and Disputes

15.1 Governing Law

These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes shall be resolved through:

  1. Negotiation: Good faith attempts to resolve disputes informally

  2. Mediation: Non-binding mediation in Tel Aviv, Israel

  3. Arbitration: Binding arbitration under the Israeli Arbitration Law

15.3 Jurisdiction

For matters not subject to arbitration, the courts of Tel Aviv, Israel shall have exclusive jurisdiction.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MindGrix.

16.2 Severability

If any provision is found unenforceable, the remaining provisions shall continue in effect.

16.3 Waiver

Failure to enforce any right does not constitute a waiver of that right.

16.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations freely.

16.5 Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control.
